These Terms of Service constitute a legally binding agreement between you and HDJ LOGISTICS LLC, doing business as HDJ Freight, concerning your access to and use of our services, website, and computer integrated systems. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.
HDJ Freight provides professional logistics services including but not limited to freight forwarding, transportation management, warehousing, distribution, supply chain consulting, and computer systems design for logistics operations. Our services are provided in accordance with applicable federal, state, and local transportation regulations.
All quotes provided are estimates based on the information you supply. Final pricing may vary based on actual shipment characteristics, route conditions, fuel surcharges, and additional services required. Quotes are valid for 30 days unless otherwise specified. We reserve the right to adjust pricing if shipment details differ from the original quote.
Service bookings are confirmed upon receipt of complete shipment information and acceptance of the quote. You are responsible for providing accurate information regarding shipment contents, dimensions, weight, and special handling requirements. Inaccurate information may result in additional charges or service delays.
Payment is due according to the terms specified in your service agreement or invoice. Standard payment terms are net 30 days for approved commercial accounts. We accept major credit cards, ACH transfers, and wire payments. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances.
You are responsible for properly packaging, labeling, and preparing shipments according to industry standards and applicable regulations. Shipments must be packaged to withstand normal transportation handling. HDJ Freight is not liable for damage resulting from inadequate packaging.
You may not ship hazardous materials, illegal substances, weapons, explosives, perishable goods without proper arrangements, live animals without authorization, or items prohibited by law or carrier regulations. Shipping prohibited items may result in immediate termination of services, legal action, and liability for all associated costs.
You must provide accurate and complete documentation including commercial invoices, packing lists, customs declarations for international shipments, and certificates of origin when required. You are responsible for compliance with all export and import regulations.
HDJ Freight will exercise reasonable care in the selection of carriers and handling of your shipments. We will provide tracking information and status updates through our computer integrated systems. However, we act as a freight broker and logistics coordinator, not as a common carrier.
Estimated delivery dates are approximate and not guaranteed unless specifically stated in writing as a guaranteed service with associated fees. We are not liable for delays caused by weather, traffic, carrier issues, customs inspections, acts of God, or other circumstances beyond our reasonable control.
Our liability for loss or damage to shipments is limited to the lesser of the actual value of the goods or $100,000 per shipment, unless you purchase additional cargo insurance. We are not liable for consequential, incidental, special, or punitive damages including lost profits, business interruption, or loss of use.
Claims for loss or damage must be filed in writing within 30 days of delivery or expected delivery date. Claims must include the original bill of lading, invoice, proof of value, and documentation of damage. We will investigate all claims promptly and respond within 60 days.
Additional cargo insurance is available for purchase to cover the full value of your shipment. We recommend purchasing insurance for high-value or fragile items. Insurance must be purchased at the time of booking.
Access to our computer integrated systems is provided for your use in managing shipments and accessing logistics services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree not to misuse our technology systems, attempt unauthorized access, interfere with system operations, transmit malicious code, or use systems for unlawful purposes. Violation may result in immediate termination of access and legal action.
While we strive for continuous availability, we do not guarantee uninterrupted access to our systems. We may perform maintenance, updates, or modifications that temporarily affect system availability. We are not liable for losses resulting from system downtime.
All content on our website and within our computer systems, including text, graphics, logos, software, and designs, is the property of HDJ LOGISTICS LLC and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written permission.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes pricing information, business strategies, customer lists, and technical specifications. Confidentiality obligations survive termination of services.
You agree to indemnify and hold harmless HDJ LOGISTICS LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, infringement of third-party rights, or shipment of prohibited items.
These Terms are governed by the laws of the State of California and applicable federal laws, without regard to conflict of law provisions.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in San Bernardino County, California. Each party shall bear its own costs and fees.
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.
Either party may terminate services with 30 days written notice. We may immediately terminate or suspend services if you breach these Terms, fail to pay amounts due, or engage in fraudulent or illegal activities. Termination does not relieve you of payment obligations for services already rendered.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, pandemics, or infrastructure failures. We will make reasonable efforts to minimize the impact of such events.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or posted on our website. Your continued use of services after changes become effective constitutes acceptance of the modified Terms. If you do not agree with changes, you must discontinue use of our services.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and HDJ LOGISTICS LLC regarding our services and supersede all prior agreements and understandings.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative.
You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets.
